THE AUTOTRADER.COM "TURN2" PROMOTION

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

1. ELIGIBILITY: The AutoTrader.com "TURN2" Promotion (the "Promotion") is open to legal residents of AZ, CA, DE IA, MD, MN, ND, NJ, NV, NY, OR, PA, SD, and WI who are 18 years of age or older and possess a valid U.S. driver's license at the time of entry. Employees of AutoTrader.com, Inc. ("Sponsor"), any of the MLB Entities (as defined below), or any of their respective parent companies, affiliates, subsidiaries, or advertising and promotional agencies, or any other parties involved in any aspect with the creation, production, operation, execution, or fulfillment of this Promotion, and the respective officers, directors and agents of each of the foregoing entities, and members of the immediate families (defined for these purposes as including parents, spouses, children, siblings and grandparents, regardless of where they reside) or households (whether related or not) of any such employee, are not eligible to participate. The term "MLB Entities" means the Office of the Commissioner of Baseball, its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. ("MLBAM" or "MLB.com"), Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., the Major League Baseball Clubs, Tickets.com, Inc., SportsOnEarth, LLC and each of their respective subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Major League Baseball Clubs or the Office of the Commissioner of Baseball, and the directors, officers, employees and agents of the above entities.

2. HOW TO PARTICIPATE AND WIN:

(a) How to Register. The Promotion will begin at 12:00:00 a.m. Eastern Time ("ET") on June 15, 2009 and will end at 11:59:59 p.m. ET on September 30, 2009 (the "Promotion Period"). There are two components to the Promotion, an instant win component (the "Instant Win"), and a Grand Prize drawing component (the "Grand Prize Drawing"). To be eligible for either the Instant Win or the Grand Prize Drawing, you must first access one of the following URLs: www.autotrader.com/angels, www.autotrader.com/giants, www.autotrader.com/phillies, or www.autotrader.com/twins, each of which resolves to the official Promotion website (the "Promotion Web Site") during the Promotion Period, and follow all online prompts to register on the site. As part of the registration process, you will be asked to complete and submit an online registration form with all required information, including your name, zip code, email address, gender, daytime telephone number, age range, confirmation of valid driver's license, and the username of your choice. You need only register one time during the Promotion Period; on all subsequent visits to the Promotion Web Site, you will only need to enter your email address in order to participate in the Instant Win portion and be entered again into the Grand Prize Drawing, as described in greater detail below. Limit one (1) registration per valid email address.

(b) Instant Win. Registered users who log in to the Promotion Web Site and play the TURN2 "match" game (the "Game") will, during each Level of the Game, be given an opportunity to play an Instant Win game for the opportunity to win Instant Win Prizes. Game players advance to increasing levels of difficulty by matching revealed images with identical images. After Round 1 or Round 2 of each Level of play during the Game, players who have registered as described in Section 2(a), above, will be taken to an Instant Win page where they will see "Scratch & Match" instant win cards. Players must then click and drag over the circles on the screen to see if they have three (3) cards that match. If a player has three (3) cards that match in a Scratch & Match instant win round, that player will see a winner message, indicating that he or she has won an Instant Win Prize (subject to verification of eligibility and compliance with these Official Rules). If no three (3) cards match during a Scratch & Match instant win round, the player will see a "sorry" message indicating that he or she has not won a prize and may keep playing for more chances to win. Instant win opportunities will be randomly generated and the total instant win opportunities that are available each week during the Promotion Period are set forth in Section 3(a), below. If your Game play results in a Scratch & Match instant win round being presented to you at one of the computer-generated, randomly determined winning moments, you will be an instant winner. If no Game player happens to be playing a Scratch & Match instant win round at one of the computer-generated, randomly determined winning moments, the next Game player to complete an instant win round after the winning moment has passed will be an instant winner. If you are an instant winner, you will be notified immediately with an on-screen message and will be provided instructions for validation and fulfillment. All winners are subject to verification before any prize will be awarded.

(c) Grand Prize Drawing. Each person who visits the Promotion Web Site and registers as described in Section 2(a), above, will automatically receive one (1) entry into the Grand Prize Drawing. Registered users can receive additional automatic entries into the Grand Prize Drawing by returning to the Promotion Web Site each day during the Promotion Period and logging in to the site using the email address submitted with the user's registration information. To log in to the Promotion Web Site, simply visit one of the following URLs (each of which resolves to the Promotion Web Site): www.autotrader.com/angels, www.autotrader.com/giants, www.autotrader.com/phillies, or www.autotrader.com/twins, and enter your registered email address at the "Log In" prompt. Limit one (1) entry into the Grand Prize Drawing per day, per email address, during the Promotion Period. The Grand Prize Drawing will be conducted on or about October 12, 2009 and one (1) Grand Prize winner will be randomly selected from among all eligible Grand Prize Drawing entries received during the Promotion Period. Grand Prize winner must comply with all prize claim requirements described in Section 3(b), above, and Section 4 below.

(d) General Entry Restrictions. Sponsor reserves the right to void any entry made through any robotic, automatic, mechanical, programmed or similar entry method and to disqualify any individual using such a method. In the event of a dispute over the identity of an entrant, all registration information, website log-ins, and Game play will be deemed made by the authorized account holder of the email address submitted with the registration information, log-in or Game play. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Proof of being the authorized account holder may be required. Sponsor reserves the right, in its sole discretion, to disqualify any individual (and all of his or her entries) who tampers or attempts to tamper with the entry process, the Game or the Promotion Web Site in any way or who is otherwise in violation of these Official Rules, as determined by Sponsor or the Promotion judges appointed by Sponsor. All entries become property of Sponsor and none will be returned. Any questions regarding the number of entries submitted or the authorized account holder of an email address shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Promotion. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY PROMOTION WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

3. PRIZE DESCRIPTIONS / ODDS OF WINNING:

(a) Instant Win Prizes: The Promotion Period consists of sixteen (16) weeks of Instant Win Prizes. Each week runs from Sunday to Friday, except that the first week of the Promotion Period runs from Monday, June 15^th to Sat., June 20^th, and the last week of the Promotion Period runs from Sunday, Sept. 27^th to Wed., Sept. 30^th. The Instant Win Prizes that will be awarded during the Promotion Period consist of the following:

* Fifteen (15) pairs of tickets to one (1) San Francisco Giants home game of Sponsor's choosing. Approximate retail value of each ticket pair is eighty-six dollars ($86);

* Fifteen (15) pairs of tickets to one (1) Minnesota Twins home game of Sponsor's choosing. Approximate retail value of each ticket pair is seventy dollars ($70);

* Fifteen (15) pairs of tickets to one (1) Philadelphia Phillies home game of Sponsor's choosing. Approximate retail value of each ticket pair is ninety dollars ($90);

* Fifteen (15) pairs of tickets to one (1) Los Angeles Angels of Anaheim home game of Sponsor's choosing. Approximate retail value of each ticket pair is fifty-six dollars ($56);

* Two hundred and fourteen (214) twenty-five dollar ($25) MLB.com Shop gift certificates valued at twenty-five dollars ($25) each; and

* Three hundred and twenty-one (321) AutoTrader.com branded MasterCard gift cards valued at twenty dollars ($20) each.

These prizes will be awarded as follows:

Baseball Tickets: During each of the first fifteen (15) weeks of the Promotion Period, the first instant winner who accessed the Promotion Web Site via the www.autotrader.com/angels URL will win two (2) tickets to an Angels home game; the first instant winner who accessed the Promotion Web Site via the www.autotrader.com/giants URL will win two (2) tickets to a Giants home game; the first instant winner who accessed the Promotion Web Site via the www.autotrader.com/phillies URL will win two (2) tickets to a Phillies home game; and the first instant winner who accessed the Promotion Web Site via the www.autotrader.com/twins URL will win two (2) tickets to a Twins home game.

Gift Certificates and Gift Cards: Two (2) MLB.com Shop gift certificates and three (3) AutoTrader.com branded MasterCard gift cards will be available to win as Instant Win Prizes each day of the Promotion Period.

The odds of winning an Instant Win Prize on any given day during the Promotion Period will depend on the number of eligible registrants on the Promotion Web Site who play the Game during that day. Limit one (1) Instant Win Prize per email address and per household, per day, during the Promotion Period. The total retail value of the Instant Win Prizes offered in the Promotion is $16,300.00. All prizes are subject to the terms, conditions and policies imposed on their use by the issuer. MLB.com Shop gift certificates are subject to certain terms, conditions and restrictions as specified by MLBAM. See www.mlb.com/giftcerts for details. In no event will more than the stated number of Instant Win Prizes listed above be awarded during the Promotion Period. If, due to technical malfunctions, tampering or other reasons, the number of instant winner messages displayed to Game players is greater than the number of Instant Win Prizes available in the Promotion, Sponsor reserves the right to conduct a random drawing from among all eligible Game players who receive such instant winner messages, so as to award only the intended number of Instant Win Prizes.

(b) Grand Prize: Subject to verification of eligibility and compliance with these Official Rules, the Grand Prize Winner will receive (i) $25,000 that can be applied toward the purchase of a vehicle listed for sale on AutoTrader.com; and (ii) season tickets (consisting of two (2) tickets per game) for the 2010 MLB regular season for one of the following teams (as selected by the winner): Minnesota Twins, San Francisco Giants, Los Angeles Angels of Anaheim, or Philadelphia Phillies. Approximate Retail Value of Grand Prize Package is: Twenty-eight thousand five hundred dollars ($28,500). To be eligible to claim the first portion of the Grand Prize, the winner must possess a valid driver's license and must provide Sponsor with: (i) a photocopy of his or her valid driver's license; (ii) proof of vehicle general liability insurance coverage; (iii) an executed liability and publicity release, as described in Section 4, below; and (iv) a fully-executed bona fide contract, dated on or before October 30, 2009, for the purchase of a passenger vehicle that was listed for sale on the AutoTrader.com website. The above materials must be provided to Sponsor no later than November 6, 2009. Failure to timely provide these materials may result in the winner's disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to an alternate potential winner to be randomly drawn from among all remaining eligible Grand Prize Drawing entries pursuant to Section 4, below. Upon receipt of the above materials, Sponsor will present the winner with a check payable to the seller of the vehicle that the winner has selected in amount equal to the contract purchase price of said vehicle. Up to $3,000 of any remaining balance of the $25,000 prize may be used by the winner towards taxes, title, lien, registration, license, gasoline and insurance costs in connection with the purchase of the vehicle chosen. Under no circumstances will more than one (1) Grand Prize, or a Grand Prize exceeding the amount of twenty-eight thousand five hundred dollars ($28,500), be awarded. By entering the Promotion, participants acknowledge and agree that the Released Parties (as defined in Section 5, below) makes no representations or warranties, express or implied, regarding the condition or safety of the vehicle selected by the Grand Prize Winner or of other vehicles advertised for sale by independent sellers on the AutoTrader.com website and will not be responsible for any claims, losses, or injuries arising out of a winner's acceptance or use of the Grand Prize. A pre-purchase inspection by a certified mechanic is always recommended when purchasing a used vehicle. The odds of winning the Grand Prize will depend on the number of eligible Grand Prize Drawing entries received during the Promotion Period, as described in Section 2, above. All expenses related to accepting and use of the Grand Prize (including but not limited to insurance, title, registration and license fees) will be the responsibility of the winner.

4. PRIZE CLAIM PROCEDURES AND CONDITIONS: Winners may waive their right to receive prizes. Prizes are non-assignable and nontransferable. No substitutions or cash equivalents allowed, except that prizes and individual components of prize packages are subject to availability and Sponsor reserves the right to substitute prizes of equal or greater value. Winners are solely responsible for reporting and payment of any taxes (including income taxes) on prizes. Prizes not won and claimed by eligible winners in accordance with these Official Rules will not be awarded and will remain the property of Sponsor. All potential winners (Instant Win and Grand Prize) must comply fully with these Official Rules in order to win and receive a prize. Instant Win: If you are an instant winner, you will immediately receive an on-screen instant win message. If you are an instant winner of an MLB.com Shop gift certificate, you will be provided on-screen directions for validation and fulfillment. If you are a winner of baseball tickets or an AutoTrader.com branded MasterCard, you will be prompted to enter a mailing address that matches the zip code you provided upon registering on the Promotion Web Site and a confirmation email will be sent to the email address you supplied at the time you registered to participate in the Promotion. This mailing address will be used to mail your prize to you, and you must notify Sponsor within twenty-four (24) hours after receipt of the confirmation email of any errors in the mailing address. If any Instant Win prize winner cannot be contacted, or declines to accept the prize, or if he/she is found to be ineligible, cannot or does not comply with these Official Rules or has his/her prize or prize notification returned as undeliverable, such winner may be disqualified and the corresponding prize forfeited. Grand Prize: The Grand Prize winner will be contacted at the telephone number and/or email address submitted with his or her registration information. Sponsor will attempt to contact the selected Grand Prize winner with twenty-four (24) hours after the Grand Prize Drawing. Sponsor may call or email only once, and no voicemail messages will be left if Grand Prize winner does not answer the telephone call. If the selected Grand Prize Winner is disqualified, cannot be reached by Sponsor within twenty-four (24) hours after the Grand Prize Drawing, fails to timely respond to any prize notification, or otherwise declines or forfeits the prize for any reason, an alternate winner will be randomly drawn from among all remaining eligible Grand Prize Drawing entries and the substitute Grand Prize winner will be contacted in the manner described above. To be eligible to claim the Grand Prize, the Grand Prize winner must satisfy the requirements set forth in Section 3(b), above, and also must promptly provide Sponsor with the following completed forms and information within the timeframe specified by Sponsor: (i) an executed Affidavit of Eligibility and Liability/Publicity Release (except where prohibited by law); and (ii) a completed W-9 form for tax reporting purposes. If the selected Grand Prize winner fails to return any required documents within the specified time period, that winner will be disqualified and will forfeit his or her interest in the Grand Prize and Sponsor may select a substitute Grand Prize winner from among all remaining eligible entries. Acceptance of a prize constitutes each winner's permission for Sponsor, the MLB Entities, and each of their respective designees to use his or her name, city and state of residence and/or likeness and prize information for purposes of advertising, publicity and trade in commerce and in any and all media now or hereafter devised worldwide in perpetuity without limitation or further compensation, notification or permission, except where prohibited by law.

5. PARTICIPATION CONDITIONS: By participating in the Promotion and/or using the Promotion Web Site, each entrant agrees: (i) to abide by and be bound by these Official Rules and Sponsor's privacy policy (http://www.autotrader.com/privacy.jsp); (ii) that the decisions of the Sponsor are final and binding in all matters relating to the Promotion; and (iii) to release and hold harmless the Sponsor, the MLB Entities and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives and advertising and promotion agencies, and any and all other companies associated with the Promotion, and all of their respective officers, directors, employees, agents and representatives (collectively, "Released Parties") from and against any and all liability for injuries, losses, or damages of any kind sustained in connection with the use, acceptance, possession or awarding of any prize or participation in the Promotion or the Game or in any prize-related activities. These Official Rules are governed by the laws of the state of Georgia and all claims must be resolved in the appropriate courts in that State.

6. LIMITATIONS OF LIABILITY: Released Parties are not responsible for: (i) electronic transmissions, entries, or prize claims that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, undelivered, inaccurate or not received by Sponsor or its agents for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries or prize claims; (iii) destruction of or unauthorized access to, or alteration of, entries or prize claims; or (iv) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants' or any person's computer and/or its contents, or any other causes that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion. All incomplete or otherwise non-conforming entries and prize claims will be disqualified or voided. Released Parties are further not responsible for: (i) incorrect or inaccurate registration, entry or prize claim information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion or for any other errors of any kind, whether technical, network, printing, typographical, human or otherwise, relating to or in connection with the Promotion, the processing of plays, entries or prize claims, the announcement of the prizes or in any Promotion-related materials; or (ii) misrepresentation, cheating or fraud by any entrant. If, for any reason, the Promotion is not capable of being executed as planned, including without limitation infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Promotion. If the Promotion is terminated in whole or in part, before the designated end date, Sponsor reserves the right, at its sole discretion, to award any unclaimed prizes in a random drawing from among all eligible, non-suspect entries received as of the date of the event giving rise to the termination. In no event will Released Parties be responsible or liable for any damages or losses of any kind, including but not limited to direct, indirect, incidental, consequential or punitive damages arising out of or in connection with access to and/or use of the Game or the Promotion Web Site. Some jurisdictions may not allow limitations or the exclusions of liability for incidental or consequential damages; therefore, some of the aforementioned limitations or exclusions may not apply depending on your place of residence.

7. CONSTRUCTION: The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

8. WINNERS LIST: For the names of the winners, send a self-addressed stamped, #10 envelope to: AutoTrader.com, Marketing, 5775 Peachtree Dunwoody Rd., Suite A-100, Atlanta, GA 30342, Attention: "J. Towns, 2008 Turn2 Promotion Winners List Request." Winners lists will be sent after the Promotion ends and all properly claimed prizes are awarded.

9. SPONSOR: The Promotion is sponsored by AutoTrader.com, Inc. The decisions of Sponsor regarding the selection of winners and all other aspects of the Sweepstakes shall be final and binding in all respects.
